ProxyPrism Governance Framework

How to Read the ProxyPrism Methodology

ProxyPrism evaluates company-year governance records using a structured framework designed for peer comparison, screening, and governance intelligence. The framework converts proxy governance indicators into comparable pillar scores and an overall governance score.

ProxyPrism is designed for comparative analysis. It helps identify governance strengths, potential gaps, and peer-relative patterns; it does not replace legal advice, proxy advisory guidance, or company-specific diligence.

What ProxyPrism measures

ProxyPrism measures governance structure, shareholder rights, compensation governance, audit/risk oversight, and transparency using structured company-year data.

What it does not measure

ProxyPrism does not certify governance effectiveness, predict shareholder votes, determine legal compliance, or provide investment advice.

What the framework answers

  • How does governance quality compare with peers?
  • Which pillars drive the overall score?
  • Where are governance strengths and gaps concentrated?
  • How does the company rank within its universe and sector?

How the Scoring Framework Works

The framework starts with governance indicators extracted or imported for each company-year record. Indicators roll into pillar scores, and pillar scores roll into the overall ProxyPrism governance score.

1

Indicators

Company-year governance attributes are evaluated across defined indicators such as board structure, voting rights, compensation design, audit oversight, and transparency.

2

Pillar Scores

Related indicators are grouped into governance pillars so users can see which areas contribute most to the company’s profile.

3

Overall Governance Score

Pillar-level performance is combined into an overall score used for benchmarking, screening, and peer comparison.

Governance Indicators → Pillar Scores → Overall Score → Ranks / Percentiles

The Five Governance Pillars

Board Structure

Board composition, independence, leadership, committees, refreshment, tenure, skills, and oversight design.

Shareholder Rights

Voting standards, shareholder meeting rights, director elections, special governance provisions, and ownership rights.

Executive Compensation

Pay-for-performance design, incentive structure, equity practices, severance/change-in-control provisions, and compensation governance.

Audit & Risk Oversight

Audit committee structure, auditor context, internal-control oversight, risk oversight disclosure, and related accountability signals.

Transparency & Engagement

Proxy clarity, governance disclosure, investor engagement, shareholder communication, and decision-useful reporting.

How to Interpret Scores, Grades, Percentiles, and Ranks

Overall Score
Composite governance score for the selected company-year record.
Grade / Band
Plain-language interpretation derived from the overall score.
Rank
Company order within the selected ProxyPrism universe/year.
Percentile
Relative position within the selected universe or sector peer group.
Important: A higher ProxyPrism score means stronger governance characteristics under the framework. It does not guarantee future performance or eliminate governance risk.

Benchmarks and Peer Context

ProxyPrism peer tools compare the current company against automatically selected peers and manual peer additions. Peers can be selected by sector, industry, company product/year records, or available universe data.

Sector
Broad industry group used for peer context and sector ranks.
Industry
More specific peer grouping when available.
Coverage Universe
The set of company-year records imported and scored for the selected year.

Data Sources and Annual Update Process

ProxyPrism is designed around public governance disclosures and company-year records. Depending on the product build, data may include proxy statement attributes, governance indicators, compensation governance fields, board composition data, and sector/industry metadata.

  • Records are organized by company and coverage year.
  • Scores and ranks update when a new company-year universe is imported.
  • Historical records can support trend views when prior years are available.
  • Current and future universes may include large-cap indexes, broader public-company universes, sector cohorts, custom portfolios, or client-selected peer sets.

Limitations and Interpretation Notes

ProxyPrism is a structured comparison framework. It should be read as an analytical layer on top of public governance data, not as a final judgment about legal compliance, board effectiveness, investment merit, or future shareholder voting outcomes.

  • Companies with similar scores may differ materially in individual governance features.
  • Sector norms can affect interpretation of governance structures.
  • Imported universe coverage affects ranks and percentiles.
  • Historical comparability depends on the availability and consistency of company-year records.

ProxyPrism Methodology Note

ProxyPrism is a governance-disclosure and governance-quality framework for comparing company-year records within the selected ProxyPrism universe. It is intended for screening, benchmarking, peer comparison, and governance research workflows.

  • Universe basis: Public labels refer to the selected ProxyPrism universe, not a fixed index. The universe can expand to additional indexes, sectors, custom portfolios, or client-selected peer sets.
  • Score basis: Scores summarize structured governance indicators, pillar scores, and company-year evidence available in the imported dataset.
  • Use case: ProxyPrism supports comparative governance analysis; it does not substitute for legal advice, proxy advisory recommendations, or issuer-specific investment diligence.
