Important limitations on AGTC digital products, analytics, education, self-assessment tools, and advisory content.

AGTC Advisory Services offers distinct solution paths: Governance Intelligence for public-company analytics, the AGTC Academy ERM Course for education and implementation learning, the ERM Maturity Navigator for informational organizational self-assessment and reporting, and AGTC Advisory Services for organization-specific support.

General website and digital-product content is provided for informational, analytical, educational, research, and decision-support purposes. It should not be treated as legal, accounting, investment, tax, regulatory, compliance, assurance, certification, or other professional advice unless a separate written advisory engagement expressly provides services within an agreed scope.

Informational use No investment or voting advice No certification or assurance Professional judgment required
Informational use

AGTC information and outputs are provided for decision-support.

AGTC digital products and general website content support structured learning, self-assessment, research, benchmarking, and review. They do not make decisions for users.

Informational, analytical, educational, and self-assessment purposes

Content made available through this website, Governance Intelligence, ProxyPrism, ERDI, RDI, the AGTC Academy ERM Course, the ERM Maturity Navigator, and related AGTC resources may include analytics, scores, benchmarks, commentary, comparisons, visuals, lessons, quizzes, templates, questionnaires, maturity outputs, summaries, reports, and other decision-support material.

Users remain responsible for how they interpret and apply any information, analytics, scores, findings, recommendations, comparisons, educational materials, assessment results, or reports.

No guarantee of completeness or suitability

AGTC does not guarantee that any digital-product output, score, benchmark, disclosure gap, evidence view, lesson, template, assessment result, recommendation, report, or general website summary is complete, current, error-free, suitable for a particular purpose, or sufficient for a user's specific needs.

No professional advice

General AGTC content does not replace qualified professional advice.

Not legal, accounting, tax, or regulatory advice

Users should consult qualified professionals.

Nothing in AGTC's general website or digital-product content should be interpreted as legal, accounting, tax, regulatory, compliance, audit, internal-control, or other professional advice. Users should consult qualified professionals before making decisions that depend on legal, regulatory, accounting, compliance, or similar obligations.

Not investment, financial, or voting advice

No recommendation to buy, sell, hold, vote, or act.

Governance Intelligence and other general AGTC content are not recommendations to buy, sell, hold, vote, invest, divest, engage, rely on, or take any other action with respect to any company, security, issuer, fund, transaction, proxy matter, or investment strategy.

Not risk, compliance, or operational assurance

No assurance of internal practices or outcomes.

AGTC analytics and self-assessment tools do not, by themselves, certify, audit, assure, independently verify, or guarantee an organization's internal controls, operational resilience, risk management, compliance program, culture, governance practices, or future performance.

No professional relationship by access alone

Digital-product use does not create a client relationship.

Accessing AGTC websites, creating an account, purchasing or using a digital product, taking a course, completing a self-assessment, or using Governance Intelligence does not, by itself, create a fiduciary, attorney-client, accountant-client, investment-advisory, consulting, or other professional relationship with AGTC. Any AGTC Advisory Services engagement is governed separately by the applicable written engagement terms.

Product-specific limitations

Each AGTC solution has a distinct purpose and limitation.

Governance Intelligence, the ERM Maturity Navigator, and the AGTC Academy ERM Course should not be interpreted as substitutes for one another or as forms of assurance, certification, or professional judgment.

Governance Intelligence

Public-company analytics

ProxyPrism, ERDI, and RDI are distinct analytical modules based on defined methodologies and available evidence. Their outputs support screening, benchmarking, comparison, diligence, and research; they are not definitive judgments about a company's overall quality, future performance, legal compliance, or investment suitability.

ProxyPrism evaluates selected governance-quality indicators and public-source evidence. Its outputs are not voting recommendations or definitive judgments of overall corporate-governance quality.

ERDI evaluates enterprise resilience disclosure. It does not establish actual operational resilience or predict how an organization would perform during disruption.

RDI evaluates risk-disclosure quality, specificity, coverage, and evidence. It does not establish the effectiveness of an organization's enterprise risk management system or operational risk-management practices.

ERM Maturity Navigator

Informational self-assessment and reporting

The AGTC ERM Maturity Navigator is an informational self-assessment and reporting tool. It is not an audit, assurance opinion, certification, legal opinion, regulatory compliance determination, or standards-body endorsement.

Results depend in part on the completeness, accuracy, consistency, and judgment reflected in user-provided responses. AGTC does not independently verify every response. Maturity levels, gates, recommendations, dashboards, and reports are structured self-assessment outputs, not assurance conclusions.

Alignment with ISO 31000:2018 and COSO ERM does not mean certification, approval, validation, or endorsement by ISO, ANSI, COSO, or any other standards body.

AGTC Academy ERM Course

Education and implementation learning

The AGTC Academy ERM Course is an educational program designed to support learning and implementation. Lessons, quizzes, worksheets, templates, examples, exercises, and related resources are educational materials and should be adapted to the learner's organizational context.

The Course and any certificate of completion do not constitute professional certification, an audit, assurance opinion, legal opinion, regulatory compliance determination, or standards-body endorsement. References to ISO 31000:2018, COSO ERM, or other standards do not imply certification or endorsement by those bodies.

Governance Intelligence limitations

Scores, rankings, gaps, and benchmarks require context.

Scores and outputs are structured signals, not absolute judgments

Governance Intelligence scores and outputs summarize selected governance or disclosure characteristics within defined module-specific frameworks. They are not definitive judgments of company quality, management quality, legal compliance, governance effectiveness, operational strength, risk-management effectiveness, enterprise value, investment attractiveness, voting suitability, or future results.

Disclosure gaps are prompts for review

A disclosure gap may indicate that a company's public disclosures appear thin, generic, incomplete, less specific, or less evidence-backed relative to an analytical framework or comparison set. A gap does not necessarily mean that the company has weak internal practices, poor controls, non-compliance, operational weakness, or undisclosed risk.

Benchmarks and comparisons depend on methodology and data availability

Peer comparisons, rankings, percentiles, benchmarks, and trend views may depend on selected peer groups, available filings, data normalization, coverage period, module methodology, scoring assumptions, and other analytical choices. Users should review applicable methodology notes and apply their own judgment.

Data and sources

Public-source evidence and user-provided inputs have different limitations.

Governance Intelligence relies on public information

Governance Intelligence generally relies on public-company disclosures, public filings, and other available source materials. Public disclosures may omit relevant facts, use company-specific terminology, change over time, contain errors, or fail to reflect internal practices or subsequent events.

Navigator results depend on user-provided information

ERM Maturity Navigator results depend on assessment responses and the context supplied by users. Incomplete, inconsistent, inaccurate, or differently interpreted responses may affect maturity outputs, recommendations, dashboards, and reports.

Updates and coverage may vary

Governance Intelligence coverage, company availability, filing-year availability, scoring availability, benchmark availability, module availability, and update timing may vary by company, sector, source material, analytical module, and coverage universe.

Methodologies and product features may evolve

AGTC may refine methodologies, scoring rules, category definitions, dimensions, questions, recommendations, data sources, interpretation guidance, page design, or product functionality over time. Historical outputs may not always be directly comparable to later outputs when material methodology changes occur.

No duty to update every output immediately

Unless expressly stated otherwise, AGTC does not undertake an obligation to update every score, page, benchmark, chart, product panel, report, lesson, assessment result, or general website statement immediately after new information becomes available.

Independent review remains important

Users should consider source quality, methodology, organizational context, data timing, and other relevant information before relying on any AGTC output for a material decision.

Forward-looking information

Future outcomes are inherently uncertain.

Any discussion of risk, resilience, governance, compliance, strategy, trends, emerging issues, future performance, potential outcomes, or anticipated developments is inherently uncertain and may be based on assumptions, public disclosures, available evidence, self-assessment inputs, or professional interpretation.

AGTC does not guarantee that any risk will or will not occur, that any company or organization will perform in a particular way, that any disclosure or self-assessment result will predict future outcomes, or that any resilience, governance, compliance, maturity, or risk-management indicator will correspond to actual future performance.

Limitations and user responsibility

Users are responsible for independent review and decisions.

User responsibility

Users are responsible for evaluating the relevance, accuracy, completeness, timeliness, and suitability of AGTC content and outputs for their own purposes. Users should independently verify information and consult appropriate professionals before making important decisions.

Use AGTC outputs with appropriate context

Governance Intelligence should be used with source and methodology context; Navigator results should be interpreted in light of organizational context and the quality of user inputs; Course materials should be adapted to the learner's organization; and advisory outputs are subject to the scope of the applicable engagement. Users should not rely solely on any AGTC score, ranking, benchmark, gap, recommendation, summary, lesson, assessment result, or report.
